Ashford Hospitality Trust Inc. is a real estate investment trust that invests in full-service upscale and upper-upscale hotel properties in the U.S. The company owns and operates its assets through its operating partnership, Ashford Hospitality Limited Partnership. All of its hotels are located across the U.S. and operate under the Marriott, Hilton, Hyatt, Crowne Plaza, and Sheraton brands. Ashford's sole segment is Direct Hotel Investments, through which it owns hotels by acquisition or development. Ashford also provides rest estate investment services, such as mezzanine financing, first mortgage financing, and sales-leaseback transactions. Its revenue streams include Room revenue, Food and beverage revenue, and Other revenue. Room revenue accounts for the majority of total revenue.

Ashford Hospitality Trust Signs Agreement To Sell Hilton Boston Back Bay For $171M

Ashford Hospitality Trust, Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/AHT#NYSE">AHT</a>) ("Ashford Trust" or the "Company") today provided an update on its previously announced plan to pay off its strategic financing which has a final maturity date in January 2026. This plan includes raising capital through a combination of asset sales, mortgage debt refinancings, and its non-traded preferred capital offering.
The Company currently has three assets under Purchase and Sale Agreements (including the recently announced agreement to sell the Residence Inn Salt Lake City) and three additional assets under Letters of Intent. The combined sales prices of these six assets total more than $220 million. Additional assets are at various stages of the marketing process, and the Company plans to provide further updates in its earnings release this week. The Company provides no assurances that these sales will be completed.

Ashford Hospitality Trust, Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/AHT#NYSE">AHT</a>) ("Ashford Trust" or the "Company") today announced that it has signed a definitive agreement to sell the 144-room Residence Inn located in Salt Lake City, Utah (the "Hotel") for $19.2 million. The sale is expected to be completed in early March and is subject to normal closing conditions. The Company provides no assurances that the sale will be completed on these terms or at all. When adjusted for the Company's anticipated capital expenditures, the sale price represents a 4.6% capitalization rate on 2023 net operating income, or 18.2x 2023 Hotel EBITDA. Excluding the anticipated capital spend, the sale price represents a 6.0% capitalization rate on 2023 net operating income, or 14.0x 2023 Hotel EBITDA. All of the proceeds from the sale are expected to be used to pay down debt.

Under the terms of the agreement, KSL Capital Partners will acquire all outstanding common shares of Hersha Hospitality for $10 per share in an all-cash transaction of $1.4 billion. This is a 60% premium over Hersha Hospitality's closing price on Aug. 25.
KSL Capital Partners is a private equity fund that invests in the hospitality, recreation, real estate and travel service sectors. It was founded and originally called KSL Recreation in 1992. KSL Capital Partners was formed in 2005, and since then it has invested in over 150 businesses across North America, Europe, Asia and Australia.
Upon announcing the merger, Hersha Hospitality's Executive Chairman Jay H. Shah said, "This transaction provides our shareholders with immediate and certain value at a substantial premium to our public valuation."
Hersha Hospitality stock stormed up 55.89% on the news and closed at $9.79, with most of that gain coming right at the opening bell.  The news triggered buying on several other hotel REITs as well. At the end of the day, five of the best 12 REIT performances were hotel REITs. Take a look at three of them.

Braemar Hotels &amp; Resorts Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/BHR#NYSE">BHR</a>) is a Dallas-based REIT that invests in luxury hotels and resorts across the U.S. and in Puerto Rico. Braemar Hotels &amp; Resorts now has investments in 16 properties with 4,184 rooms.
On Aug. 2, Braemar Hotels &amp; Resorts reported mixed second-quarter operating results. Funds from operations (FFO) of $0.20 per share was in line with estimates, but 45.95% below FFO of $0.37 per share in the second quarter of 2022. However, revenue of $186.71 million beat the consensus estimate of $173.87 million and was a 6.76% increase over revenue of $174.89 million in the second quarter of 2022.
On Aug. 14, B. Riley Securities analyst Bryan Maher downgraded Braemar Hotels &amp; Resorts from Buy to Neutral and lowered the price target from $7 to $3.50.&nbsp;
"As it relates to Braemar's luxury resort hotels, we have been writing about RevPAR (revenue per available room) weakening for several quarters," Maher noted.&nbsp;
Following the news on Hersha Hospitality, Braemar Hotels soared 15.57% in one day.
Ashford Hospitality Trust Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/AHT#NYSE">AHT</a>) is another Dallas-based hotel REIT that owns 100 hotels with 22,316 rooms across 26 states. It focuses on upscale full-service and select-service hotels. Ashford Hospitality Trust is externally advised by Ashford Inc. (NYSEAMERICAN: AINC).
Ashford Hospitality was one of the worst-performing REITs throughout 2022, with a total return of negative 56.73%. Year to date it has continued to perform poorly, with a total return of negative 30.72%.
On July 10, Ashford Hospitality announced it will surrender ownership of 19 hotels across the U.S. as a means to halt worsening debt. Ashford Hospitality ceased making mortgage payments on two hotels in Newark, New Jersey, one in Oakland, California, and one in Walnut Creek, California. Ashford Hospitality estimates it will save $700 million by not paying these mortgages and then paying down debt on other mortgages.&nbsp;
But on Aug. 2, Ashford Hospitality announced second-quarter FFO of $0.78, beating the consensus estimates by $0.31. Revenue of $375.75 million also beat the Street estimates by $5.72 million and was 7.9% higher than revenue during the second quarter of 2022. RevPAR for all hotels was up 6.7% from the second quarter of 2022 to $144.25.
Following Hersha Hospitality's announcement, Ashford Hospitality was up 10.29% on the day.
Chatham Lodging Trust (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/CLDT#NYSE">CLDT</a>) is a West Palm Beach, Florida-based hotel REIT that owns 39 upscale extended-stay hotels with 5,914 rooms across 16 states and Washington, D.C. Its portfolio includes Residence Inn by Marriott and Homewood Suites by Hilton.
On Aug. 2, Chatham Lodging Trust reported its second-quarter operating results. Adjusted funds from operations (AFFO) of $0.43 per share beat the estimate of $0.39 by 10.26% and was above AFFO of $0.41 per share from the second quarter of 2022. Revenue of $84.48 million beat the estimate of $84.06 and was 3.32% above revenue of $81.76 million in the second quarter of 2022. RevPar has improved from $157 to $189 over the past seven months.
Despite a year-to-date loss of over 13%, on the heels of Hersha Hospitality's announcement, Chatham Lodging rose 6.19% on the day.
Other Hotel REITs with notable sympathy price changes were Summit Hotel Properties Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/INN#NYSE">INN</a>), up 6.07%, Xenia Hotels &amp; Resorts Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/XHR#NYSE">XHR</a>), up 5.75%, and Diamondrock Hospitality Co. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/DRH#NYSE">DRH</a>), up 5.2%.
Hotel REITs have struggled since early 2020 when COVID-19 first hit the U.S. The growing popularity of Airbnb, Vrbo and other short-term rental properties have put a dent in hotel REIT earnings, especially in a post-COVID era of consumer wariness.
On July 20, analyst Tylor Batory of Oppenheimer &amp; Co. Inc. downgraded Chatham Lodging Trust, along with Braemar Hotels &amp; Resorts and Hersha Hospitality Trust, from Outperform to Perform.
But apparently, merger fever has taken over with the acquisition of Hersha Hospitality, and investors seem to be disregarding the analysts and betting that other hotel REITs are grossly undervalued and primed for lucrative takeovers as well. If nothing else, those stocks clearly outperformed for one day.

In any stock, exchange-traded fund (ETF) or mutual fund prospectus, an investor is likely to come across the phrase &quot;past performance is no guarantee of future results.&rdquo; You should never assume that an investment will continue to perform well just because it&#39;s done so in the past.

Modiv Inc. (NYSE: <a class="ticker" href="https://www.benzinga.com/stock/mdv#NYSE">MDV</a>) is a Reno, Nevada-based, diversified commercial REIT with 56 triple-net-leased industrial and retail single-tenant properties across 16 states. Its tenants include Dollar General, Costco and 3M. Its current occupancy rate is 100%.
On May 15, Modiv reported its first-quarter operating results. Adjusted funds from operations (AFFO) of $0.30 was up from $0.29 in the first quarter of 2022. Revenue of $10.31 million was up from $9.65 million in the first quarter of 2022 but missed the street estimate by $490,000.
On May 18, EF Hutton analyst Gaurav Mehta reiterated his Buy rating on Modiv and maintained a $17 price target. At the time, Modiv was trading near $14, so that price target represented a 21% potential price hike.
During May, Modiv led all REITs with a return of 27.18%.

On May 1, after the closing bell, Ashford Hospitality announced its first-quarter operating results. First-quarter FFO of $0.19 was far ahead of estimates for $0.15 and was up from $0.04 in the first quarter of 2022. Revenue of $328.89 million beat the consensus estimate by over $27 million and was 33.08% higher than revenue of $247.14 million in the first quarter of 2022.
Hotel REITs in general did well this month, as increasing occupancy and higher revenue per available room (RevPAR)) rates were catching Wall Street&rsquo;s interest again. Ashford Hospitality Trust&rsquo;s first-quarter RevPAR was 30% above RevPAR in the first quarter of 2022. It&rsquo;s not surprising that Ashford Hospitality Trust gained 19.71% in May.
Creative Media &amp; Community Trust Corp. (NASDAQ: <a class="ticker" href="https://www.benzinga.com/stock/cmct#NASDAQ">CMCT</a>) is a Dallas-based office REIT that focuses on acquiring, operating and developing premier office, hotel and multifamily residential properties in fast-growing communities. Many of its 13 properties are located in Texas and California. Creative Media &amp; Community is externally managed by CIM Group.
Creative Media &amp; Community gained 13.64% in May.
There are some interesting events, including a number of insider purchases at Creative Media &amp; Community that have been pushing the shares higher. In April, its board of directors received a written offer from Daniel Negari, the founder and CEO of XYZ, to acquire Creative Media and all of its outstanding stock shares at $8.88 per share, well above the previous day&rsquo;s closing price of $4.23.
In addition to being critical of the Board&rsquo;s recent capital allocation decisions, Negari also wrote that he intends to evaluate all of his options and take appropriate action if he does not receive a favorable response to his proposal.
Later that same day, EF Hutton analyst Mehta maintained his Buy rating on Creative Media and raised the price target to $7.
On May 2, Creative Media posted its first-quarter earnings, and they weren&rsquo;t very good. FFO of negative $0.56 was well below the FFO of negative $0.12. However, revenue of $28.91 million beat the estimates of $26.1 million and was 16.67% better than revenue of $24.78 million in the first quarter of 2022.
On May 3, EF Hutton analyst Mehta reiterated the Buy rating and $7 price target on Creative Media.
On May 8, Creative Media&rsquo;s board of directors unanimously determined that Negari&rsquo;s offer of $8.88 per share substantially undervalued Creative Media and was not credible because of a lack of committed financing.
Between May 3 and May 25, Chief Investment Officer Shaul Kuba and directors Richard S. Ressler, Marcie L. Edwards and Avraham Shemesh purchased a total of 715,430 shares of Creative Media among them, at various prices between $4.37 and $5.12. These were the first insider purchases in many months.
Investors can only speculate as to what this means but one thing that can be said is that Creative Media has recently been getting a lot more attention.
Two other REITs that performed quite well in May were Urstadt Biddle Properties Inc. (NYSE: <a class="ticker" href="https://www.benzinga.com/stock/ubp#NYSE">UBP</a>) and Necessity Retail REIT Inc. (NYSE: <a class="ticker" href="https://www.benzinga.com/stock/rtl#NYSE">RTL</a>), rising by 19.71% and 11.8%, respectively. This was a result of both REITs being acquired by other REITs for prices above the share prices at the time of the transactions.

Most of 2022 was bad for real estate investment trusts (REITs), particularly the hotel REIT subsector, as inflation, Federal Reserve rate hikes, hurricanes, airline delays and the threat of a recession provided headwinds for the group. Several hotel REITs lost as much as 40% to 50% of their value throughout the year.
But some hotel REITs have bounced back in 2023 as the hospitality industry saw an uptick in business and personal travel. Many hotel REITs announced first-quarter operating results with improved funds from operations (FFO) and revenue per available room (RevPAR).
Well-known hotel REITs include Host Hotels &amp; Resorts Inc. (NASDAQ: <a class="ticker" href="https://www.benzinga.com/stock/hst#NASDAQ">HST</a>), Ryman Hospitality Properties Inc. (NYSE: <a class="ticker" href="https://www.benzinga.com/stock/rhp#NYSE">RHP</a>), Apple Hospitality REIT Inc. (NYSE: <a class="ticker" href="https://www.benzinga.com/stock/aple#NYSE">APLE</a>), Park Hotels &amp; Resorts Inc. (NYSE: <a class="ticker" href="https://www.benzinga.com/stock/pk#NYSE">PK</a>) and Sunstone Hotel Investors Inc. (NYSE: <a class="ticker" href="https://www.benzinga.com/stock/sho#NYSE">SHO</a>). Each of these REITs has a market capitalization between $2 billion and $12 billion.
But one smaller, less well-known hotel REIT with a market capitalization of $138.6 million has trounced its peers in performance with a 46% gain since the REIT market low on March 24.

As of March 31, Ashford Hospitality had 22,316 rooms in 100 hotels across 26 states. Its top markets include Washington, D.C./Northern Virginia; Nashville, Tennessee; Atlanta; Los Angeles; and Dallas/Fort Worth. Ashford Hospitality&rsquo;s brands include Hilton, Marriott, Hyatt, Courtyard, Embassy, Sheraton and others.
In early April, Ashford Hospitality pre-announced an increase in its first-quarter 2023 occupancy and a 30% increase in RevPAR over the first quarter of 2022. This boosted the share price from $2.75 to $3.40 by the end of April.
On May 1, after the closing bell, Ashford Hospitality announced its first-quarter operating results. First-quarter FFO of $0.19 was far ahead of estimates for $0.15 and was up from $0.04 in the first quarter of 2022. Revenue of $328.89 million beat the consensus estimate by over $27 million and was 33.08% higher than revenue of $247.14 million in the first quarter of 2022.
Shares then rose to an intra-day high of $4.66 on May 5. After pulling back to $3.64 over the next 10 days, Ashford Hospitality shares rose almost 9% on May 17 without any public news. The total gain of 46.18% since March 23 leads not just hotel REITs, but all other REITs as well.
Investors should also know about Ashford Hospitality&rsquo;s poor longer-term performance history. If you purchased Ashford Hospitality Trust on April 1, 2019, when it was trading at $488 and held it until now, your total return would be negative 95.42%.&nbsp; That&rsquo;s as bad as it gets.
It&rsquo;s likely that Ashford Hospitality&rsquo;s recent stellar price performance is the result of vastly improved top and bottom lines since the first quarter of 2022 and a feeling among investors that perhaps Ashford Hospitality&rsquo;s worst days are in the rearview mirror.
Ashford Hospitality gets little analyst coverage. In mid-March, B. Riley Securities maintained a Neutral position on Ashford Hospitality but lowered its previous price target of $9 to $6.50. Deutsche Bank AG maintained a Buy rating last October with a $28 price target.
Better things are finally happening at Ashford Hospitality Trust, but investors can expect to see more volatility from this REIT, and it&rsquo;s not a stock for the widows and orphans&rsquo; fund. Ashford Hospitality suspended its dividend at the end of 2019 and has yet to reinstate it because it still has approximately $3.85 billion of debt.
With a price/FFO of just 3.98, this is a very undervalued REIT. But at a little over $4 per share, this could be an inexpensive, solid performer for the remainder of 2023.
