In a&nbsp;regulatory filing&nbsp;Friday, Agenus Inc (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/AGEN#NASDAQ">AGEN</a>) revealed Bristol Myers Squibb &amp; Co (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/BMY#NYSE">BMY</a>) terminated a license, development, and commercialization agreement forged in 2021.
The company said that as part of a broader strategic realignment of their development pipeline, which involves other licensed products, Bristol Myers Squibb is <a target="_blank" href="https://www.sec.gov/ix?doc=/Archives/edgar/data/1098972/000095017024089932/agen-20240730.htm" rel="noreferrer noopener">returning</a> AGEN1777, a TIGIT bispecific antibody, to Agenus and voluntarily terminating the BMS License Agreement, effective as of January 26, 2025.

Results from Merck's Phase 2 KeyVibe-002 trial of vibostolimab/pembrolizumab combo, with or without docetaxel for metastatic non-small cell lung cancer with progressive disease after treatment with immunotherapy and&nbsp;platinum-doublet chemotherapy, did not show an improvement in median PFS <a target="_blank" href="https://www.benzinga.com/general/biotech/23/12/36132441/double-flops-for-mercks-lung-cancer-studies" rel="noreferrer noopener">compared to docetaxel alone</a>.
Bristol Myers acquired AGEN1777 in 2021 by paying Agenus $200 million in cash.

Thursday, Agenus Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/AGEN#NASDAQ">AGEN</a>) announced the results of its end-of-Phase 2 meeting with the FDA to advance its immunotherapy combination, botensilimab (BOT) and balstilimab (BAL), for adult patients with relapsed/refractory microsatellite-stable colorectal cancer (r/r MSS CRC)&nbsp;<a target="_blank" href="https://www.benzinga.com/general/biotech/24/07/39842882/agenus-loses-more-than-50-value-on-thursday-heres-why" rel="noreferrer noopener">with no active liver metastases (NLM)</a>.
The FDA discouraged the accelerated approval pathway and advised against submitting these results to support an Accelerated Approval based on its view that objective response rates may not translate to survival benefits.
Given the limited treatment options for late-stage colorectal cancer and the promising survival data from the Phase I trial of botensilimab plus balstilimab (bot/bal), William Blair notes that replicating these Phase 1 results in the Phase 2 trial could support an accelerated approval. Therefore, they are surprised by the recent announcement.
Due to the regulatory setback and the company&#8217;s limited financial resources, the analyst has downgraded Agenus stock to Market Perform, pending more clarity on the financing of the pivotal trial.
William Blair considers botensilimab an attractive asset for business development. However, without an accelerated approval pathway and a limited balance sheet, the company lacks strong negotiation leverage and may have to forfeit significant long-term potential.
The FDA&#8217;s regulatory clarity may aid ongoing discussions, potentially increasing the likelihood of a collaboration agreement soon, which poses a risk to <a target="_blank" href="https://www.benzinga.com/quote/AGEN/analyst-ratings" rel="noreferrer noopener">the analyst&#8217;s downgrade</a>.
Due to its demonstrated clinical efficacy across various indications, William Blair remains confident in Agenus&#8217;s next-generation CTLA-4 antibody, botensilimab.
&#8220;Although we still believe the company will be able to find a development partner for botensilimab, the terms may not be as favorable to Agenus given recent setbacks and significant capital needs,&#8221; William Blair writes.

Abbott said it projects full-year 2024 GAAP EPS of $3.30-$3.40 versus prior guidance of $3.25-$3.40, primarily related to intangible amortization, restructuring and cost reduction initiatives and other net expenses. Dow Dips 250 Points; US Weekly Jobless Claims Surge

Agenus Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/AGEN#NASDAQ">AGEN</a>) stock is trading lower on Thursday, with a session volume of 6.29 million, according to data from <a target="_blank" href="https://www.benzinga.com/pro/feature/newsfeed" rel="noreferrer noopener">Benzinga Pro</a>.
The company announced the results of its end-of-Phase 2 (EOP2) meeting with the FDA to advance its immunotherapy combination, botensilimab (BOT) and balstilimab (BAL), for adult patients with relapsed/refractory microsatellite-stable colorectal cancer (r/r MSS CRC) <a target="_blank" href="https://www.benzinga.com/pressreleases/24/07/b39834370/agenus-announces-end-of-phase-2-meeting-outcomes-and-topline-interim-phase-2-data-for-botbal-in-ms" rel="noreferrer noopener">with no active liver metastases (NLM)</a>.
The FDA discouraged the accelerated approval pathway and advised against submitting these results to support an Accelerated Approval based on its view that objective response rates may not translate to survival benefits.
Agenus previously&nbsp;disclosed&nbsp;data from the Phase 1 trial, which showed an overall response rate (ORR) of 23% in the 77 MSS mCRC patients without active liver metastases, with a median follow-up of 13.6 months.
The estimated 6-month, 12-month, and 18-month overall survival (OS) rates were 86%, 71%, and 62%, respectively. The estimated median OS was 21.2 months.
Topline interim data from the Phase 2 trial show trends consistent with the Phase 1 study, including an ORR of 19.4% and a 6-month survival rate of 90% for the BOT 75mg/BAL combination.
The safety profile was manageable, and no new signals were observed.
Agenus plans to explore opportunities to partner in the U.S. to accomplish a successful Phase 3 trial.
In addition to the progress in the U.S., Agenus is advancing its efforts to bring BOT/BAL to patients in Europe.
Engagements with the European Regulatory Authority to explore registration paths are scheduled for later this summer.
These discussions aim to align on the regulatory path for approval of the BOT/BAL combination in Europe.
Agenus continues to pursue opportunities for BOT/BAL development in earlier lines of CRC and other tumor types where BOT/BAL has demonstrated clinical activity, such as lung, melanoma, and pancreatic cancers.
The company expects to present data from some of these programs at future medical congresses, including BOT/BAL in sarcoma at the European Society for Medical Oncology in September 2024.
Price Action: AGEN shares are down 53.20% at $8.27 at the last check on Thursday.

Agenus has published results from a groundbreaking clinical trial in&nbsp;Nature Medicine, revealing the potential of a novel immunotherapy combination for treating microsatellite stable metastatic colorectal cancer (MSS mCRC), a cancer type historically resistant to immunotherapy. This pioneering research, led by an international team of oncologists, focuses on the efficacy and safety of botensilimab (BOT), an Fc-enhanced anti-CTLA-4 antibody, in combination with balstilimab (BAL), an anti-PD-1 antibody. Together, these therapies are designed to activate the immune system against a cancer type historically resistant to immunotherapy.
Colorectal cancer is the second leading cause of cancer death in the United States. While overall death from CRC has declined, survival rates for advanced disease remain poor, with an increasing burden on younger populations. For the&nbsp;95%&nbsp;of patients diagnosed with MSS mCRC, there are no approved immunotherapies, making long-term survival exceedingly rare.
Publication Highlights:

<li>Patient Group:&nbsp;The Phase 1 trial assessed 148 heavily pretreated MSS mCRC patients treated with the combination at active doses; 101 of these with long term follow-up, and 77 of these without active liver metastases as of the data cutoff of November 29, 2023.</li>
