On October 3, 2018, the Board caused Birner Dental to enter into an
agreement and plan of merger (the "Merger Agreement") with Mid-Atlantic
Dental. Pursuant to the terms of the agreement, shareholders of Birner
Dental will receive $10.62 in cash and one Contingent Value Right (CVR)
for each share of Birner Dental common stock. The CVR entitles
shareholders to an additional cash payment of up to $0.13 per share
under certain circumstances following the closing of the transaction.

On November 19, 2018, Birner Dental filed a definitive proxy statement
("Proxy Statement") with the United States Securities and Exchange
Commission in connection with the Proposed Transaction, which recommends
that Birner Dental's shareholders vote in favor of the Proposed
