Lee Partners, L.P., along with a group of other investors.

On August 8, 2018, Dun & Bradstreet announced that it had signed a definitive merger agreement with the Investor Group. Under the terms of the agreement, Dun & Bradstreet shareholders will receive $145.00 in cash for each share of common stock they own.

The investigation concerns whether the Dun & Bradstreet board failed to satisfy its duties to the Company shareholders, including whether the board adequately pursued alternatives to the acquisition and whether the board obtained the best price possible for Dun & Bradstreet shares of common stock.
