Pursuant to the terms of the Purchase Agreement, which was unanimously approved by the Board, Patheon shareholders stand to receive $35.00 per share in cash for each share they own. The complaint claims that this offer is inadequate given Patheon's recent financial performance and strong growth prospects and alleges that the Schedule 14D-9 Solicitation/Recommendation Statement (the "14D-9") provides materially incomplete and misleading information concerning Patheon's financial projections and the valuation analyses performed by the Company's financial advisor, in violation of Sections 14(e), 14(d)(4), and 20(a) of the Exchange Act.
