NEW YORK, Jan. 2, 2015 (GLOBE NEWSWIRE) -- Wolf Haldenstein Adler Freeman & Herz LLP is investigating the proposed acquisition of Volcano Corporation VOLC by Royal Philips N.V, the Dutch-based consumer and technology multi-national corporation.

Under the terms of the transaction, Volcano shareholders will receive only $18.00 in cash for each share of Volcano stock they own. The investigation concerns whether the Board of Directors of Volcano Corporation breached their fiduciary duty to stockholders by failing to adequately shop the Company before agreeing to enter into this transaction, attaching conditions to the merger than make it more difficult for competing offers to emerge, and whether Royal Philips is underpaying for Volcano shares.

Wolf Haldenstein's investigation focuses on whether the Board of Directors of Volcano Corporation is undertaking a fair process to obtain maximum value for the shareholders of the Company given the unique position of Volcano Corporation within the medical imaging industry. At the time of the announcement of the acquisition, Philips NV management noted that "Volcano is the only company in the industry with a leading position in both intravascular ultrasound (IVUS) imaging and fractional flow reserve (FFR) measurements." Philips added that acquiring Volcano will help it make inroads into the high-growth, multi-billion dollar image-guided therapy market.
