Under the terms of the transaction, Eloqua shareholders will receive $23.50 for each share of Eloqua stock they own. The claims concern whether the Eloqua Board of Directors breached their fiduciary duties to stockholders by failing to adequately shop the Company before entering into this transaction and whether Oracle Corporation is underpaying for Eloqua shares, thus unlawfully harming Eloqua stockholders. In particular, at least one analyst set a price target of $27.00 per Eloqua share.
