NAL Energy Announces Upsizing of $100 Million Convertible Debenture Offering to $140 Million

CALGARY, ALBERTA--(Marketwire - Feb. 9, 2012) -

NAL Energy Corporation NAE ("NAL" or the "Corporation") is pleased to announce that as a result of strong investor demand for its public offering of 6.25% convertible unsecured subordinated debentures maturing March 31, 2017 announced earlier today (the "Debentures"), the size of the offering has been increased by $40 million, to $140 million. NAL has also granted the underwriters an over-allotment option to purchase up to an additional $10 million of Debentures on the same terms, exercisable in whole or in part for a period of 30 days following closing. If the over-allotment option is exercised in full, the total gross proceeds to NAL from the sale of Debentures will be approximately $150 million. Closing is expected to occur on or about February 21, 2012. The offering is being underwritten, on a bought deal basis, by a syndicate of underwriters co-led by RBC Capital Markets, BMO Capital Markets and CIBC.

NAL will use the net proceeds of this financing to repay outstanding indebtedness under the Corporation's existing bank credit facility, to fund the maturity of the existing 6.75% convertible unsecured subordinated debentures due August 2012 and for general corporate purposes.

The Debentures have a face value of $1,000 per debenture, a coupon of 6.25%, a maturity date of March 31, 2017, and will be convertible into common shares at the option of the holder at a conversion price of $9.90 per common share. The Debentures will pay interest semi-annually in arrears on March 31 and September 30 of each year, commencing September 30, 2012. The Debentures will not be redeemable prior to March 31, 2015. On and after March 31, 2015 and prior to the maturity date, the Debentures may be redeemed by the Corporation, in whole or in part from time to time, on not more than 60 days and not less than 30 days prior notice at a redemption price equal to their principal amount plus accrued and unpaid interest, if any, up to but excluding the date set for redemption, provided that the weighted average trading price of the common shares on the TSX for the 20 consecutive trading days ending five trading days prior to the date on which notice of redemption is provided is at least 125% of the conversion price.

The Debentures will be issued by way of a prospectus supplement that will be filed with securities regulatory authorities in all provinces of Canada under NAL's short form base shelf prospectus dated May 12, 2011, which was previously filed with securities regulatory authorities in each province in Canada.
