B. Riley & Co. 11th Annual Investor Conference Opens May 24 with 125 Presenting Companies, Expert Led Informational Sessions and Sugar Ray Leonard Foundation Fight Night

Riley), www.brileyco.com, a full service broker dealer providing research, investment banking, sales and trading, announced today that in addition to presentations from 125 public companies, its 11th Annual Investor Conference will include informational sessions on capital raising, debt financing, M&A and corporate governance issues for public companies.

Four sessions have been integrated into this invitation-only conference, scheduled for May 24-26, 2010 at the Loews Santa Monica Beach Hotel, according to Ian Corydon, B. Riley Director of Research.

A session on Registered Direct Offerings (RDOs) is scheduled for Tuesday, May 25 at 7:30 AM. “RDOs have become a widely accepted way for public companies to raise capital quickly with minimal disruption to share price,” said Corydon. “The panelists will discuss recent RDO activity, pricing, as well as how public companies can position themselves for an RDO.”

A session entitled “Corporate Governance: Living With Your Investors – A New Paradigm” is scheduled for May 25th at 12:15 PM. The expert panel will discuss how to interact with investors in both good times and bad and how companies can balance longer term goals with shareholders’ desires. The speakers will discuss dividends, buybacks and capital allocation from a company and shareholder point of view, and what a company can do when it becomes a target of aggressive investors.

Wednesday May 26 will lead off with a 7:00 AM session on Debt Financing. Recent market turmoil has drastically remapped the financing landscape. “Familiar names are gone, new ones have emerged. This is a most timely session that will discuss Senior, Junior, Mezzanine and Bridge Financing. The panel will cover which banks are lending again, loan terms and conditions and the latest changes in accounting rules,” said Corydon.

A session on Mergers & Acquisitions, scheduled for 12:00 PM on May 26, will address the current and future market for M&A and discuss key elements of distressed transactions and restructurings. Due diligence and integration risks, as well as fiduciary duties related to unsolicited offers, also will be covered.

The average market cap of the presenting companies is $280 million, representing such industries as: Technology, Commercial Banks, Apparel & Retail, Energy, Defense, Movies & Entertainment, Business Services, Personal/Leisure Products, Research & Consulting Services, Biotech, and Healthcare. While a majority of the companies are listed on the New York Stock Exchange and NASDAQ, B. Riley is featuring alternative exchange listed companies, including those on the Toronto Stock Exchange and the OTCQX.

Conference attendees will be treated to a spectacular evening of boxing under the stars at the famed Santa Monica Pier on Tuesday, March 25th. The ProAm fight card, commissioned by the California State Athletic Commission and USA Boxing, will include several professional and amateur bouts. Themed “Big Fighters, Big Cause,” this boxing event will introduce the Sugar Ray Leonard Foundation to the investor community.
