Stellar AfricaGold Completes a Shares for Debt

MONTREAL, QUEBEC--(Marketwired - Jun 21, 2017) - John Cumming, President and Chief Executive Officer of Stellar AfricaGold Inc., SPX ("Stellar" or the "Company") announces the closing of a share for debt pursuant to which Stellar issue 150,000 common shares at a deemed price of $ 0.05 per share to debenture holders, representing the $ 7,500 in interest due as of March 22, 2017, pursuant to the private placement of a $ 150,000 convertible closed on September 22, 2016. The debenture bears interest at the rate of 10% per annum, payable semi-annually in shares.

The transaction constituted a related-party transaction within the meaning of TSX Venture Exchange Policy 5.9 and Multilateral Instrument 61-101 as an insider of the Company have received 10,000 shares of the issuance. The Company is relying on the exemptions from the valuation and minority shareholder approval requirements of MI 61-101 contained in sections 5.5(b) and 5.7(1)(a) of MI 61-101, as the Company is not listed on a specified market and the fair market value of the participation in the offering by insiders does not exceed 25 per cent of the market capitalization of the Company, as determined in accordance with MI 61-101.
