Danaos Corporation Announces Pricing of its Public Offering of Common Stock

ATHENS, Greece, Nov. 22, 2019 /PRNewswire/ -- Danaos Corporation ("Danaos") DAC announced today that its offering of 9,000,000 shares of its common stock was priced at $6.00 per share. The gross proceeds from the offering before the underwriting discount and other offering expenses are expected to be approximately $54 million. Certain of our significant stockholders and management insiders have agreed to purchase approximately $27 million of common stock in the offering at the public offering price, including approximately $17 million by Danaos Investment Limited, which is our largest stockholder and beneficially owned by Dr. John Coustas, our Chief Executive Officer. Danaos has also granted the underwriters a 30-day option to purchase up to an additional 1,350,000 shares of common stock.

Danaos plans to use the net proceeds of the offering for capital expenditures, including vessel acquisitions, and for other general corporate purposes.

Citigroup and Jefferies are acting as joint book-running managers of the offering, which will be made pursuant to an effective shelf registration statement on Form F-3 filed with the Securities and Exchange Commission (the "SEC").

The offering is expected to close on or about November 26, 2019.
