WESTLAKE, Texas, Nov. 07, 2019 (GLOBE NEWSWIRE) -- Core-Mark Holding Company, Inc. CORE ("the Company"), one of the largest marketers of fresh, food and broad-line supply solutions to the convenience retail industry in North America, announced financial results for the third quarter ended September 30, 2019.

Third Quarter Results

Net sales increased 3.5% to $4.4 billion compared to $4.3 billion for the same period in 2018. The increase in overall net sales was due primarily to non-cigarette sales growth of 10.3% that reflected a 7.1% increase in sales to existing customers and net market share gains.  Non-cigarette sales increased to 34.9% of total net sales for the third quarter of 2019 compared to 32.7% of total net sales for the same period in 2018.  Cigarette sales increased 0.2% driven primarily by manufacturer price increases, net market share gains and the impact of one additional selling day, partially offset by a decline in cigarette carton sales.

Gross profit increased 5.5% to $246.6 million compared to $233.8 million for the same period in 2018.  The increase in gross profit was driven primarily by an increase in non-cigarette sales to existing customers and net market share gains, partially offset by a decline in cigarette cartons sold.  Gross profit in the third quarter of 2019 included $6.1 million in inventory holding gains, compared to $13.3 million for the same period of 2018.  The lower inventory holding gains were due primarily to a shift in the timing and frequency of cigarette manufacturer price increases.  Remaining gross profit, a non-GAAP financial measure, increased 8.8% to $247.8 million from $227.7 million.

Gross profit margin increased 11 basis points to 5.58% of total net sales from 5.47% for the same period in 2018. Remaining gross profit margin expanded 27 basis points to 5.60% from 5.33%.  The increase in the remaining gross profit margin was driven primarily by a shift in sales mix toward higher margin non-cigarette products, driven in part by the strong growth in alternative nicotine sales, higher margins in the food category and the success of the Company's strategic pricing initiatives.

The Company's operating expenses increased 6.9% to $212.7 million from $198.9 million for the same period in 2018.  The increase in operating expenses was due primarily to higher warehousing and distribution expenses which were impacted by the increase in non-cigarette sales volume and one extra selling day during the third quarter of 2019.  Operating expenses as a percentage of remaining gross profit decreased to 85.8% compared to 87.4% for the third quarter of 2018 due primarily to the sales mix shift toward higher margin non-cigarette products and the benefit of the strategic pricing initiatives.

Net income was $22.5 million for the third quarter of 2019 compared to $23.7 million for the same period in 2018.  Adjusted EBITDA, a non-GAAP financial measure, increased 0.3% to $59.2 million compared to $59.0 million for the third quarter of 2018.  Excluding inventory holding gains of $6.1 million in the third quarter of 2019 and $13.3 million in the same quarter last year, Adjusted EBITDA increased by 16.2% due primarily to favorable mix shift toward higher margin non-cigarette products, the success of the strategic pricing initiatives and operating expense leverage.

Diluted Earnings per Share (EPS) was $0.49 compared to $0.51 for the third quarter of 2018.  Diluted EPS excluding LIFO expense, a non-GAAP financial measure, was $0.60 compared to $0.63 for the third quarter of 2018.  See the attached "Supplemental Schedule for Items Impacting Diluted EPS."

First Nine Months of 2019

Net sales for the first nine months of 2019 increased by 1.7% to $12.5 billion compared to $12.3 billion for the same period in 2018 due primarily to an increase in non-cigarette sales of 7.0%.  This increase in non-cigarette sales was driven primarily by growth in sales to existing customers and net market share gains, partially offset by the expiration of our distribution agreement with Kum & Go and the transition of certain Rite-Aid stores.  Non-cigarette sales increased to 34.6% of total net sales for the first nine months of 2019 compared to 32.9% of total net sales for the same period in 2018.  Cigarette sales decreased 0.9% driven primarily by declines in carton sales which were partially offset by manufacturer price increases.

Gross profit increased 6.6% to $693.7 million from $650.5 million for the same period in 2018.  The increase in gross profit was driven primarily by incremental non-cigarette sales to existing customers, including strong growth in alternative nicotine products, and net market share gains, partially offset by a decline in cigarette cartons sold.   Gross profit for the first nine months of 2019 included $18.7 million in inventory holding gains, compared to $23.9 million for the same period of 2018.  The lower inventory holding gains were due primarily to a shift in the timing and frequency of cigarette manufacturer price increases.  Remaining gross profit, a non-GAAP financial measure, increased 7.7% to $696.7 million from $646.6 million.

Gross profit margin increased 25 basis points to 5.54% of total net sales during the first nine months of 2019 from 5.29% for the same period in 2018.  Remaining gross profit margin improved by 32 basis points to 5.57% in the first nine months of 2019 from 5.25% for the same period in 2018 driven primarily by a shift in sales mix toward higher margin non-cigarette items, including an increase in sales of higher-margin alternative nicotine products, higher margins in our food and candy categories and the benefit of our strategic pricing initiatives.

The Company's operating expenses for the first nine months of 2019 were $626.0 million compared to $595.7 million for the same period in 2018.  Operating expenses as a percentage of remaining gross profit, a non-GAAP measure, improved to 89.9% compared to 92.1% for the first nine months of 2018 due primarily to the shift in sales mix to higher margin non-cigarette products.

Net income for the first nine months of 2019 was $41.5 million compared to $33.4 million for the same period in 2018, a 24.3% increase.  Adjusted EBITDA, a non-GAAP financial measure, was $142.4 million compared to $125.7 million for the first nine months of 2018, a 13.3% increase.  Excluding inventory holding gains, Adjusted EBITDA increased $21.9 million, or 21.5%, to $123.7 million for the first nine months of 2019 from $101.8 million in the same period last year.  The increases in net income and Adjusted EBITDA were due primarily to higher gross profit from a favorable sales mix shift toward higher margin non-cigarette products and operating expense leverage.

Diluted EPS was $0.90 for the first nine months of 2019 compared to $0.72 for the same period in 2018.  Diluted EPS excluding LIFO expense, a non-GAAP financial measure, was $1.24 for the first nine months of 2019 compared to $1.04 for the same period in 2018.  See the attached "Supplemental Schedule for Items Impacting Diluted EPS."

Dividend

Core-Mark announced today that its Board of Directors has approved a $0.12 cash dividend per common share, or $0.48 on an annualized basis, representing an increase of 9% from the prior quarterly dividend.  The dividend is payable on December 13, 2019 to stockholders of record as of the close of business on November 19, 2019.

Guidance for 2019

The Company is revising its guidance for the full year of 2019.  Annual net sales for 2019 are now expected to be between $16.5 billion and $16.7 billion, compared to the previous forecast of $16.8 billion to $17.0 billion.  Diluted EPS for the year are estimated to be between $1.14 and $1.19 compared to prior estimates of $1.09 and $1.19.   Diluted EPS, excluding LIFO expense, are expected to be between $1.62 to $1.67 compared to prior estimates of $1.50 and $1.60.  The Company expects Adjusted EBITDA to be between $185 million and $188 million compared to prior estimates of $176 million to $182 million.  The following key assumptions have also been updated: (a) the Company has raised its LIFO expense forecast from $25 million to $30 million, (b) increased its estimated tax rate to 27% from 25% and (c) capital expenditures for 2019 are expected to be approximately $25 million compared to the previous estimate of approximately $30 million.

(1) Cigarette inventory holding gains
Cigarette inventory holding gains were $0.3 million and $12.9 million for the three months and nine months ended September 30, 2019, respectively versus $5.9 million and $16.5 million for the three and nine months ended September 30, 2018, respectively.
(2) Cigarette tax stamp inventory holding gain
Cigarette tax stamp inventory holding gain was $7.4 million for each of the three months and nine months ended September 30, 2018.
(3) Candy inventory holding gains
Candy inventory holding gains were $5.8 million for each of the three months and nine months ended September 30, 2019.
(4) Business expansion and integration costs
During the three and nine months ended September 30, 2018, the Company incurred $0.9 million and $1.2 million, respectively, in identifiable business expansion expenses due primarily to integration of acquisitions.
(5) Net OTP tax items
During the three and nine months ended September 30, 2018, the Company recognized excise tax adjustments of $0.7 million.
(6) Headquarters relocation expenses
In connection with the Company's headquarters relocation, the Company recognized expenses of $0.4 million and $2.8 million for the three and nine months ended September 30, 2019, respectively.
(7) Legacy bad debt expense
For the nine months ended September 30, 2019, a bad debt reserve of $2.0 million was recorded to reserve for the balance of un-reserved receivables pertaining to specific customers with receivable balances exceeding twelve months past due and were deemed no longer collectable.
(8) Legal settlement costs & related fees
The Company recognized legal settlement costs and related legal fees of $1.3 million and $3.0 million during the three and nine months ended September 30, 2018, respectively.
(9) Foreign exchange gains/(losses)
Foreign exchange gains/(losses) were $0.9 million and ($0.3) million for the three and nine months ended September 30, 2019, respectively versus ($0.4) million and $0.5 million for the three and nine months ended September 30, 2018, respectively.
