BayCom Corp Completes Acquisition of TIG Bancorp

BayCom Corp BCML ("BayCom" or the "Company"), the parent company of United Business Bank, today announced that effective October 21, 2019, it completed its acquisition of TIG Bancorp ("TIG"), headquartered in Greenwood Village, Colorado and the merger of First State Bank of Colorado, TIG's wholly owned bank subsidiary, into United Business Bank. Under the terms of the merger agreement, TIG shareholders will receive 0.27543 of a share of BayCom common stock and $6.34 in cash in exchange for each share of TIG common stock, with cash to be paid in lieu of any fractional shares. The cash and stock transaction is valued at approximately $39.9 million or $12.53 per share in the aggregate based on BayCom's closing stock price as of October 21, 2019. TIG shareholders will receive information shortly on how to exchange their TIG shares for BayCom shares.
