NCR Corporation Announces Offering of Senior Notes

NCR Corporation NCR (the "Company") announced today its intention to offer $500 million aggregate principal amount of senior notes due 2027 (the "2027 Notes") and $500 million aggregate principal amount of senior notes due 2029 (the "2029 Notes" and, together with the 2027 Notes, the "Notes"), subject to market and customary conditions. The Notes will be general unsecured senior obligations of the Company and will be guaranteed by the Company's wholly-owned subsidiary, NCR International, Inc., a Delaware corporation.

The Company intends to use the net proceeds from the offering, together with initial borrowings under the new senior secured credit facilities, to redeem or repurchase all of its outstanding $500 million aggregate principal amount of 4.625% senior notes due 2021, with the remainder to repay outstanding indebtedness under the Company's existing senior secured credit facilities and for general corporate purposes.

The Notes and the related subsidiary guarantee will be offered in the United States to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and outside the United States pursuant to Regulation S under the Securities Act. The Notes and the related subsidiary guarantee have not been registered under the Securities Act and may not be offered or sold in the United States without registration or an applicable exemption from the registration requirements.
