Dow Announces Expiration of Tender Offer for Any and All of its Outstanding 8.55% Notes due 2019

The Dow Chemical Company ("Dow") announced today the expiration of the previously announced cash tender offer (the "Tender Offer") for any and all of its outstanding 8.55% Notes due May 15, 2019 (the "Notes"). The Tender Offer expired at 5:00 p.m., Eastern time, on Tuesday, December 4, 2018 (the "Expiration Date"). As of the Expiration Date, $1,069,578,000 aggregate principal amount of the Notes, or approximately 50.58%, of the $2,114,827,000 aggregate principal amount of the Notes outstanding had been validly tendered and not withdrawn in the Tender Offer. In addition, $521,000 aggregate principal amount of the Notes are expected to be tendered through the guaranteed delivery procedures.

Dow accepted for purchase all of the Notes validly tendered and delivered (and not validly withdrawn) in the Tender Offer at or prior to the Expiration Date. Payment for the Notes purchased pursuant to the Tender Offer is intended to be made on December 5, 2018 (the "Settlement Date"). Notes tendered by notice of guaranteed delivery and accepted for purchase will be purchased on the third business day after the Expiration Date, or on December 7, 2018, but payment of accrued interest on such Notes will only be made to, but not including, the Settlement Date.

The Tender Offer was made pursuant to the terms and conditions set forth in the offer to purchase, dated November 28, 2018, and the related notice of guaranteed delivery (the "Tender Offer Documents"), to purchase for cash any and all of the Notes.

The consideration to be paid under the Tender Offer will be $1,023.98 per $1,000 principal amount of Notes, plus accrued and unpaid interest from, but not including, the last interest payment date up to, but excluding, the Settlement Date. The total Tender Offer consideration of $1,100,306,975.94 including accrued and unpaid interest will be funded from the net proceeds from Dow's recently announced issuance of its 4.550% Notes due 2025, 4.800% Notes due 2028 and 5.550% Notes due 2048.

It is expected that Dow will retire approximately 50.60% of the outstanding amount of the Notes pursuant to the Tender Offer (including any Notes expected to be delivered through the guaranteed delivery procedures). Additionally, on November 30, 2018, Dow announced a full redemption of any of the Notes that have not been tendered in the Tender Offer. The redemption date will be December 30, 2018. Any redemption will be made solely pursuant to the notice of redemption issued by Dow on November 30, 2018 pursuant to the indenture governing the Notes and the information in this press release is not a notice of redemption with respect to the Notes.
