RTW Investments Announces Private Placement Transaction with Rocket Pharmaceuticals, Inc.

RTW Investments, LP ("RTW") today announced the purchase of 967,742 shares of common stock of Rocket Pharmaceuticals, Inc. RCKT ("Rocket" or the "Company") at a price of $15.50 per share, for a total investment amount of $15 million, in a private placement transaction. RTW is an existing stockholder of the Company and an affiliate of Roderick Wong, the chairman of Rocket's board of directors. The purchase of these shares is being made on the same terms as are being offered to the public in Rocket's underwritten offering of $55 million of shares of common stock and will close concurrently with the underwritten offering. RTW has signed a 90-day lock-up covering all of its holdings in Rocket. The sale of shares to RTW is not registered under the Securities Act of 1933, as amended, and such shares will be subject to customary resale restrictions.
