On October 22, 2018, Aspen filed a preliminary proxy statement ("Proxy Statement") with the United States Securities and Exchange Commission ("SEC") in connection with the Proposed Transaction, which recommends that Aspen's shareholders vote in favor of the Proposed Transaction.
