CKX Entertainment Proposes Private Placement of $360 Million in Senior Secured Notes

announced today that CKX Entertainment, Inc. intends to issue and sell $360 million aggregate principal amount of senior secured notes due 2019 in a private offering that is exempt from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”). The Issuer intends to use the net proceeds from the offering either to finance the previously announced acquisition of the Company by the Issuer or to refinance indebtedness incurred in connection with such acquisition and pay related fees and expenses. The notes are being offered in the United States only to qualified institutional buyers in reliance on Rule 144A under the Securities Act, and outside the United States, only to non-U.S. investors pursuant to Regulation S under the Securities Act. The notes will not be registered under the Securities Act, and, unless so registered, may not be offered or sold in the United States absent registration or an applicable exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and other applicable securities laws.
