America Service Group Announces Early Termination of HSR Waiting Period

America Service Group Inc.

, the parent company of PHS Correctional Healthcare, Inc., today announced that it has received notice from the Federal Trade Commission granting early termination of the waiting period under the U.S. Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, with respect to the previously announced Agreement and Plan of Merger, dated March 2, 2011, under which the Company and Valitás Health Services, Inc., the parent company of Correctional Medical Services, Inc., would be combined. Pursuant to the terms of the Merger Agreement, the Closing of the Merger remains subject to satisfaction or waiver of certain other conditions, including approval of the shareholders of the Company, at a special shareholders meeting scheduled for June 1, 2011.
