, the company empowering mobile operators and Original Equipment Manufacturers ("OEMs") around the globe with end-to-end mobile solutions, announced today that it plans to make a public offering of its common stock. The Company expects to use the net proceeds from the offering for organic business opportunities, product development, general corporate purposes, working capital and capital expenditures. In connection with the offering, B. Riley & Co., LLC is acting as the underwriter. Digital Turbine intends to grant the underwriter a 30-day option to purchase additional shares of its common stock. The offering is subject to market conditions, and there can be no assurance as to whether or when the offering may be completed, or the actual size or terms of the offering. The public offering will be made pursuant to a shelf registration statement on Form S-3 filed with the Securities Exchange Commission ("SEC"). A preliminary prospectus supplement and accompanying base prospectus relating to and describing the terms of the offering will be filed with the SEC and when filed will be available on the SEC's website located at http://www.sec.gov.
