CareTrust REIT Prices 14.2M Share Offering @$10.50/Share

CareTrust REIT, Inc.

announced the pricing of its public offering of 14,200,000 shares of its common stock at a price to the public of $10.50 per share. In connection with the offering, the Company has granted the underwriters a 30-day option to purchase up to an additional 2,130,000 shares of common stock. The offering is expected to close on August 18, 2015, subject to customary closing conditions. The Company intends to use the net proceeds from this offering to fund a portion of the purchase price of the previously announced acquisition of a 14-facility skilled nursing and assisted living portfolio from affiliates of Liberty Nursing Centers and to pay related fees and expenses. KeyBanc Capital Markets, Raymond James, BMO Capital Markets, Barclays and RBC Capital Markets are acting as joint book-running managers for the offering. Canaccord Genuity and Fifth Third Securities are acting as co-managers for the offering.
