Goldcorp Increases Offer for Osisko to C$7.65/Share in Cash, Shares

today announced that it intends to increase its previously-announced offer to acquire all of the outstanding common shares of Osisko Mining Corporation ("Osisko")

to C$7.65 per Osisko share for a total consideration of approximately C$3.6 billion (the "Offer"). Osisko shareholders who tender to the offer will be entitled to receive 0.17 of a Goldcorp common share plus an increase in the cash portion of the Offer to a total of C$2.92 for each Osisko common share. The Offer represents a premium to the closing price of Osisko on April 9, 2014 and a superior alternative to the other proposal. "The recent completion of our due diligence process has confirmed the technical and financial merits of our decision to acquire Osisko," said Chuck Jeannes, Goldcorp President and Chief Executive Officer. The Offer will be modified such that the minimum tender condition will be satisfied if 50.1% or more of the outstanding Osisko common shares (on a fully diluted basis) have been validly deposited prior to the expiry of the Offer, which will be extended to 11:59 p.m. EDT on April 22, 2014. Goldcorp expects to be in position to take up and pay at the expiration of the Offer.
