today announced the underwritten public offering of 4,588,840 shares of its Class A common stock held by selling shareholders, which represent all the shares that were issued in connection with SBA's recent acquisition of TowerCo II Holdings LLC. The shares will be offered (the "Offering") pursuant to SBA's shelf registration statement filed with the Securities and Exchange Commission (the "SEC"). SBA will not sell any shares in the Offering and will not receive any proceeds from the Offering. Morgan Stanley is acting as sole underwriter for the Offering. A preliminary prospectus supplement relating to the Offering will be filed with the SEC and will be available on the SEC's website at http://www.sec.gov.
