Mediware Information Systems to be Acquired by Thoma Bravo for $195M

(MEDW), a leading provider of clinical software solutions, in reaching a merger agreement to be acquired by leading private equity investment firm Thoma Bravo, LLC. The transaction, which is subject to shareholder approval, is valued at approximately $195 million. “Bringing Mediware together with Thoma Bravo will enable the company to build on its exceptional brand and reputation as a premier provider of medical technology management solutions, hopefully allowing it to expand its reach while continuing its record of excellent customer service,” said Irwin A. Kishner, Chairman of Herrick's Executive Committee and Co-Chairman of the firm's Corporate Department. The Herrick deal team was led by Mr. Kishner and included Partners Stephen E. Fox and Harold Levine (tax) as well as Counsel Fred Green (benefits) and Sung Hwang (tax) and Associate Liliana Chang. The merger is subject to standard closing conditions, regulatory approvals and the approval of Mediware shareholders. The Mediware board of directors has already unanimously approved the agreement. Under the terms of the pending agreement, shareholders will receive $22.00 in cash for each share of Mediware common stock. The transaction is expected to close before the end of the year.
