Response Genetics Raises $8.8 Million in Financing

announced today that it has entered into a purchase agreement with GlaxoSmithKline and one of its existing significant stockholders to raise $8.8 million from the private placement of 8,000,000 newly issued shares of its common stock at a purchase price of $1.10 per share. The signing of the purchase agreement and closing of the financing occurred today, Thursday, September 13, 2012. "We are pleased to welcome GlaxoSmithKline as a new investor, given our long standing relationship," said Thomas Bologna, chairman and chief executive officer of Response Genetics, Inc. "The capital raised will help support our continued efforts in building a sustainable business of high value genetic tests for cancer patients as well as a premier pharmaceutical services business. Going forward we will continue to implement additional operational efficiencies, as evidenced by our improved financial performance relative to the fourth and subsequent quarters of last year, and will also increase our focus and efforts on growing top line revenue." The securities sold in the private placement have not been registered under the Securities Act of 1933, as amended, or state securities laws and may not be offered or sold in the United States absent registration with the Securities and Exchange Commission ("SEC") or an applicable exemption from the registration requirements.
