Symantec Recommends Rejection of Below-Market Mini-Tender Offer by TRC Capital Corporation

Symantec Corp.

has been notified of an unsolicited "mini-tender" offer by TRC Capital Corporation to purchase up to five million shares, or 0.7 percent, of Symantec's outstanding common stock at a price of $16.20 per share in cash. TRC's offer price is approximately 4.87 percent below the $17.03 closing price of Symantec common stock on Nov. 3, 2011, the day before the offer commenced. Symantec does not endorse TRC's mini-tender offer and recommends that Symantec shareholders do not tender their shares since the offer is below the current market price for Symantec shares. Symantec is not associated with this offer and urges shareholders to obtain current market quotations for their shares, review the conditions to the offer and exercise caution.
