MWI Receives Early Termination of HSR Waiting Period for the Acquisition of Substantially All of the Assets of Micro Beef Technologies, Ltd.

announced today that on October 4, 2011, the Department of Justice and Federal Trade Commission granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act for the proposed acquisition of substantially all of the assets of Micro Beef Technologies, Ltd. ("Micro"). As previously announced, MWI entered into a definitive agreement to acquire substantially all of the assets of Micro for approximately $60 million, including approximately $53.4 million in cash and common stock valued at $6.6 million. The agreement is subject to certain customary closing conditions. The expiration of the waiting period under the HSR Act satisfies one of the closing conditions of the transaction, which is expected to close by the end of October 2011.
