Human Genome Sciences HGSI:
Human Genome Sciences announced on Monday that GlaxoSmithKline
GSK
will acquire it for $14.25 per share. The deal is worth about $3.6 billion in equity and is extended to July 27. Under the agreement, GlaxoSmithKline is going to acquire full ownership of the drugs BENLYSTA, albiglutide, and darapladib. Thomas Watkins, President and Chief Executive Officer, HGS, stated, "After a thorough analysis of strategic alternatives, HGS has determined that a combination with GSK is the best course of action for our company and the best way to maximize value for our stockholders. HGS has had a long and productive working relationship with GSK, and together we will be uniquely positioned to achieve the full potential of BENLYSTA and other products in our pipeline for the benefit of those battling serious disease around the world.” Human Genome Sciences traded up about 5% on Monday.
Par Pharmaceutical Company PRX:
Par Pharmaceutical Company announced on Monday that it has entered into a definitive agreement to be acquired by an affiliate of TPG. TPG is a private investment fund with $51.5 billion of assets under management. The transaction is worth a total of $1.9 billion and shareholders will receive $50 in cash for each share of Par common stock owned. This represents a 37% premium in comparison to the closing price of $36.58 on Friday. Patrick G. LePore, Par's Chairman and CEO, stated, "We are excited about this transaction as it delivers compelling value to our shareholders." Mr. LePore continued, "While my focus and that of the Par Board of Directors was on shareholder value, we are very pleased that Par will be acquired by TPG, a leading global private investment firm whose substantial resources and healthcare experience will enable Par to continue to invest in its future long-term growth." Par Pharmaceutical Company traded up about 38% on Monday.
AuthenTec AUTH:
AuthenTec traded up about 8% on Monday. The company announced that Samsung has chosen its product, QuickSec, for use in its new Android smartphones and tablets. QuickSec is a built in security system. AuthenTec is a mobile and network security solutions company for government, enterprise, and consumer markets.
