A total of 46,940,805 common shares, representing approximately 57.04% of the Company's outstanding common shares as of the record date of February 2, 2018, were voted in person or by proxy at the Meeting.

BSM shareholders voted in favour of all items of business, including the election of the following director nominees:

In addition to the election of the director nominees, BSM's shareholders also approved:

• The resolution approving the re-appointment of PricewaterhouseCoopers LLP as the auditor of the Company to hold office until the next annual meeting of shareholders of the Company, and the authorization of the directors of the Company to fix the auditor's remuneration, with 46,076,377 (99.87%) total votes cast "FOR" and 59,327 (0.13%) total votes "WITHHELD"; and
• The resolution approving all unallocated options under the Company's Second Amended and Restated Stock Option Plan, with 39,747,385 (85.76%) total votes cast "FOR" and 6,602,063 (14.24%) total votes "WITHHELD".
