Verisk Analytics, Inc. Prices Offering of Class A Common Stock

JERSEY CITY, N.J., May 6, 2015 - Verisk Analytics, Inc. VRSK (the "Company"), a leading data analytics provider, today announced the pricing of an offering of 9,640,000 shares of its Class A common stock (the "Common Stock") at $70.00 per share. The Company has granted the underwriters a 30-day option to purchase up to 964,000 additional shares of the Common Stock. The closing of the offering is expected to occur on May 12, 2015, subject to satisfaction of customary closing conditions.

The Company intends to use the net proceeds of this offering, together with the net proceeds of an offering of debt in the form of notes and borrowings under its revolving credit facility and cash on hand, to finance the acquisition of Wood Mackenzie Limited.

BofA Merrill Lynch, Morgan Stanley & Co. LLC, Wells Fargo Securities, LLC, J.P. Morgan Securities LLC and SunTrust Robinson Humphrey, Inc. are acting as joint book-running managers for the offering.
