Join the Rocky Mountain Chapter of the National Investor Relations Institute (NIRI) for February's feature presentation: “Regulation FD – A Fair Disclosure Update.”

Increased regulatory scrutiny and an ever-changing landscape of investor styles, communications tools, and technology compel the investor relations professional to be constantly abreast of the latest best practices and legal rulings. With these challenges in mind, February's presentation features an interactive expert panel of legal and investor relations professionals, including Jason Day, Partner at Perkins Coie; William Kent, Director of Investor Relations at QEP Resources; and Jeffrey Sherman, Vice President, Deputy General Counsel and Corporate Secretary at The Spectranetics Corporation. The panel will cover important fair disclosure topics, including the intersection of social media and Regulation FD, real world disclosure situations and hypotheticals, and best practices in the marketplace for ensuring proper compliance with fair disclosure rules.

Jason Day is a partner with Perkins Coie LLP in Denver, Colorado. Jason focuses his practice on securities regulation, corporate governance and public offerings. Jason counsels many well-known Colorado-based public companies on Securities Exchange Act of 1934, NYSE and NASDAQ compliance and disclosure issues. He regularly advises public company executives regarding Regulation FD and other areas of SEC compliance. Jason's securities experience also includes representation of issuers and underwriters in public equity and debt offerings. Jason is a former chair of the Securities Subsection of the Colorado Bar Association Business Law Section and is a frequent local and national speaker on SEC and corporate governance.

William I. Kent has a diverse professional background which includes a number of senior level corporate investor relations positions. Mr. Kent currently serves as Director of Investor Relations for QEP Resources, Inc. QEP, a leading independent crude oil and natural gas exploration and production company based in Denver, Colorado. Prior to joining QEP, Mr. Kent served as Senior Director of Investor Relations for Crocs, Inc. CROX. Mr. Kent holds an MBA from the Daniels College of Business at the University of Denver and a Bachelor of Arts degree from Trinity College in Hartford, Connecticut. He serves as a Senior Roundtable Member for the National Investor Relations Institute (NIRI).

Jeffrey A. Sherman serves as Vice President, Deputy General Counsel, and Corporate Secretary of The Spectranetics Corporation, which develops, manufactures, markets, and distributes single-use medical devices used in minimally invasive procedures within the cardiovascular system. In that role, he oversees corporate governance, securities law compliance, corporate finance, mergers and acquisitions, and the legal aspects of two of the company's business units. Mr. Sherman earned his J.D. from the University of Michigan Law School. Mr. Sherman graduated cum laude from Miami University, where he received a B.A. in political science and psychology. He also serves as an officer in the JAG Corps of the U.S. Army Reserve and was deployed to Iraq as part of Operation Iraqi Freedom/Operation New Dawn. Mr. Sherman is a former chair of the Securities Subsection of the Colorado Bar Association Business Law Section and served on the Colorado Business Corporation Act revision committee.
