On December 17, 2014, Volcano and Royal Philips NV ("Royal Philips") announced the signing of a definitive merger agreement pursuant to which Royal Philips will acquire Volcano in a merger worth $1.2 billion. As a result of the merger, Volcano shareholders are only anticipated to receive $18.00 per share in cash in exchange for each share of Volcano. While the Company claims that shareholders will receive a premium for their shares, the Company's stock traded at $22.59 per share on March 21, 2014. The process leading up to the announcement of the merger appears to have significant conflicts of interest, thus making the process and consideration unfair.

On December 22, 2014, a Volcano shareholder represented by another law firm filed a class action complaint challenging Volcano's merger with Royal Philips. The complaint was filed in the Delaware Court of Chancery, Case No. 10485-VCP.
