Terrafina Announces Results of Its Extraordinary and Ordinary Holders' Meeting

MEXICO CITY--(BUSINESS WIRE)--

Terrafina (“Terrafina”) TERRA, a leading Mexican industrial real estate investment trust (“FIBRA”), externally advised by Prudential Real Estate Investors and dedicated to the acquisition, development, lease and management of industrial real estate properties in Mexico, announced today the results of the Extraordinary and Ordinary Holders' Meeting held on September 1, 2014.

80% of Terrafina's real estate certificates (CBFIs) were represented at the meeting and the following proposals were approved:

I. Amendments to the trust agreement related to recent reforms to the Securities Market Law and the General Provisions applicable to securities issuers and other stock market participants.

II. Amendments to the advisory fee calculation in order to reflect the properties that comprise the Trust Estate for a shorter period than a full advisory fee period. The advisory fee will be prorated based on the number of days of such advisory fee period of which the advisor has acted in such capacity.

III. An additional Issuance of 280 million CBFIs to be used to (i) carry out asset acquisitions and/or (ii) to be publicly or privately offered and placed in Mexico and/or abroad.
