About the Lawsuit

VOXX and certain of its executives are charged with issuing a series of materially false and misleading statements during the Class Period, violating federal securities laws.

These false statements and omissions included, in part, that VOXX: (i) was experiencing declining headphone sales in its Premium Audio segment; (ii) was experiencing a greater than expected sales decline in its Consumer Accessories segment; and (iii) failed to timely record losses for various acquisitions, trademarks of various brands, and its Technuity business, thereby materially overstating its financial condition and misstating its financial results and financial statements.

On May 14, 2014, VOXX announced financial results for the fourth-quarter and year-end 2014 below the Company's previous guidance. On this news, VOXX's share price plummeted by 25%.
