("Aeroflex" or the "Company") ARX concerning possible breaches of fiduciary duty and other violations of law related to Aeroflex's efforts to sell the Company to Cobham plc in a transaction valued at approximately $1.46 billion, including the assumption of Aeroflex's net debt of $540 million at March 31, 2014.
