InterMune Announces Pricing of Public Offering of 7,500,000 Shares of Common Stock

BRISBANE, Calif., March 13, 2014 /PRNewswire/ -- InterMune, Inc. ITMN today announced that it has agreed to sell 7,500,000 shares of its common stock at a price to the public of $32.75 per share in an underwritten public offering.  InterMune has granted the underwriters a 30-day option to purchase up to an additional 1,125,000 shares of common stock in connection with the offering.  InterMune estimates net proceeds from the offering to be approximately $233.0 million (assuming no exercise of the underwriters' option to purchase additional shares of common stock), after deducting underwriting discounts and estimated offering expenses.  InterMune intends to use the net proceeds from the offering to fund the commercialization activities in anticipation of the potential commercial launch of Esbriet® (pirfenidone) in the United States and ongoing commercialization in Europe, to fund research and development programs with Esbriet and other compounds intended to address idiopathic pulmonary fibrosis (IPF) and other fibrotic diseases, and for general corporate purposes.  InterMune expects to close this transaction on or about March 19, 2014, subject to satisfaction of customary closing conditions.
