In the complaint, the defendants are alleged to have violated certain provisions of the Securities Exchange Act of 1934. Specifically, the complaint alleges, among other things, that defendants' misrepresented and/or failed to disclose that it routinely overstated the weight of its pre-packaged products and overcharged customers. The New York City Department of Consumer Affairs ("NYCDCA") announced on June 25, 2015 that it had uncovered "systematic overcharging for pre-packaged foods" at eight New York City locations. The NYCDCA reported that it found thousands of potential overcharging violations. Whole Foods denied the allegations; however, on July 29, 2015, the Company stated in an SEC filing that the weights and measures audit in New York City garnered national media attention. On this news, Whole Foods stock fell over 11%.
