Convergys Corporation CVG, a global leader in customer management, today announced its financial results for the second quarter of 2014.

Second Quarter Summary

  • Revenue of $736 million, up 46 percent compared with prior year;
  • Adjusted operating income of $53 million, up 32 percent compared with prior year; GAAP operating income of $37 million, up 23 percent compared with prior year;
  • Adjusted EBITDA of $87 million, up 42 percent compared with prior year;
  • Adjusted EPS from continuing operations of $0.34, compared with $0.26 in the prior year; GAAP EPS from continuing operations of $0.23, compared with $0.20 in the prior year;
  • Adjusted free cash flow of $45 million;
  • Returned $17 million to shareholders via dividend and share repurchase;
  • 2014 revenue expectations revised, EBITDA and EPS guidance confirmed.

“We generated solid revenue, earnings and cash flow,” said Andrea Ayers, president and CEO. “The integration of Stream is on track, which is driving contributions to revenue and profitability consistent with our expectations. We had several contract wins with existing and new clients in the quarter, and overall demand remains strong, particularly in the technology, financial services and other markets. Based on lower than anticipated volumes with some of our largest communications clients we are revising our revenue expectations, but our profit improvement expectations are unchanged and we are confirming our EBITDA and EPS guidance for the full year.”

Ayers continued, “Given our current financial strength and confidence in the future we continue to return cash to investors. We paid a $6 million dividend and repurchased $11 million of our stock in the quarter.”

Second Quarter Results – Continuing Operations

Revenue – Revenue was $736 million, a 46 percent increase compared with $504 million in the same period last year.

Operating Income – Adjusted operating income was $53 million, a 32 percent increase compared with $40 million in the same period last year. Including the acquisition impacts discussed below, GAAP operating income from continuing operations was $37 million, a 23 percent increase compared with $30 million in the same period last year.

Adjusted EBITDA – Adjusted EBITDA was $87 million, a 42 percent increase compared with $61 million in the same period last year. Adjusted EBITDA excludes the acquisition impacts discussed below.

Net Income – Adjusted net income from continuing operations was $36 million, or $0.34 per diluted share, compared with $28 million, or $0.26 per diluted share, in the same period last year. Including the acquisition impacts discussed below, GAAP net income from continuing operations was $25 million, or $0.23 per diluted share, compared with $22 million, or $0.20 per diluted share, in the same period last year.

Share Repurchase – Convergys repurchased 0.5 million shares in the second quarter at a cost of $11 million. To date in the third quarter the Company has repurchased 0.2 million shares at a cost of $4 million. The remaining authorization to purchase outstanding shares is $118 million.

Quarterly Dividend – Convergys paid a $0.07 per share quarterly dividend in July to holders of record at the close of business on June 19, 2014. The next dividend payment of $0.07 per share is scheduled to be made on October 3, 2014, to shareholders of record at the close of business on September 19, 2014.

Free Cash Flow – Adjusted free cash flow was $45 million, excluding cash payments of $7 million for acquisition-related transaction and integration expenses, compared with free cash flow of $35 million in the same period last year.

Net Debt – At June 30, 2014, cash and short term investments were $197 million, debt maturing in one year was $17 million, and long term debt was $408 million. Net debt totaled $229 million at June 30, 2014. This compares with net cash and short term investments of $526 million at the end of the second quarter last year, and net debt that would have been $252 million at March 31, 2014, excluding the acquisition-related in-substance debt defeasance to repay Stream senior secured notes.

Acquisition and Other Impacts – GAAP second-quarter 2014 results include acquisition-related impacts consisting of $5 million integration expenses, $7 million amortization expense for acquired intangible assets, and $6 million depreciation expense related to the fair value write-up of acquired property and equipment. Second-quarter 2014 GAAP results also include a $2 million gain related to a prior real estate transaction.

Reconciliation tables of GAAP to non-GAAP results are attached.

2014 Business Outlook

Updated Convergys expectations for the full year now include:

  • Revenue to exceed $2.85 billion, revised from prior guidance to exceed $2.9 billion;
  • Adjusted EBITDA of $350 million to $360 million, unchanged from prior guidance;
  • Adjusted effective tax rate to approximate 23 percent, unchanged from prior guidance;
  • Diluted shares outstanding to approximate 107 million, reduced from prior guidance of 108 million shares;
  • Adjusted EPS of $1.45 to $1.50, unchanged from prior guidance.

The Company also expects sequential increases in third-quarter and fourth-quarter results compared with second-quarter 2014 results.

Not included in this outlook or prior-year adjusted results are acquisition-related impacts such as transaction costs, integration costs, intangible amortization, depreciation related to the fair value write-up of acquired property and equipment, and tax expense associated with cash repatriation. Also not included are impacts from prior real estate transactions, non-cash pension settlement charges or any future share repurchase activities.

(h) During the fourth quarter of 2013, the Company recognized tax expense of $46.4 to record the deferred tax liability associated with a change in classification for a portion of undistributed earnings of the Company's foreign subsidiaries. During the six months ended June 30, 2014, the Company recognized a $1.5 tax benefit for the difference between the tax previously accrued on foreign earnings and the current estimate as of June 30, 2014.

Management uses free cash flow and adjusted free cash flow to assess the financial performance of the Company. Convergys' Management believes that free cash flow and adjusted free cash flow are useful to investors because they relate the operating cash flow of the Company to the capital that is spent to continue and improve business operations, such as investment in the Company's existing businesses. Further, free cash flow and adjusted free cash flow facilitate Management's ability to strengthen the Company's balance sheet, to repay the Company's debt obligations and to repurchase the Company's common shares. Management also believes the presentation of these measures will enhance the investors' ability to analyze trends in the business and evaluate the Company's underlying performance relative to other companies in the industry.

Limitations associated with the use of free cash flow and adjusted free cash flow include that they do not represent the residual cash flow available for discretionary expenditures as they do not incorporate certain cash payments including payments made on capital lease obligations or cash payments for business acquisitions. Management compensates for these limitations by using both the non-GAAP measures, free cash flow and adjusted free cash flow, and the GAAP measure, cash from operating activities, in its evaluation of performance. There are no material purposes for which we use these non-GAAP measures beyond the purposes described above. These non-GAAP measures should be considered supplemental in nature and should not be considered in isolation or be construed as being more important than comparable GAAP measures.
