The following are the M&A deals, rumors and chatter circulating on Wall Street for Thursday September 11, 2014: Alliance Data Systems to Acquire Conversant for ~$2.3B The Deal:
Alliance Data Systems Corporation ADS and Conversant CNVR announced Thursday that Alliance Data will purchase Conversant in a cash and stock deal valued at approximately $2.3 billion, or $35 per Conversant share. The deal consists of 48% cash and 52% ADS shares, and is expected to close by year end. Conversant Shares closed Thursday at $26.71, and traded 32% higher, after-hours. HP Acquires Eucalyptus The Deal:
Hewlett-Packard Company HPQ announced Thursday, an agreement to acquire provider of open source software for building private and hybrid enterprise clouds, Eucalyptus. Terms of the deal were not disclosed. The deal is expected to close in Q4 of FY 2014. Hewlett-Packard closed Thursday at $100.92, a gain of $0.32. Report ZF in Talks to Sell JV Stake Ahead of TRW Deal The Rumor:
Shares of TRW Automotive TRW spiked higher Thursday, on a report from Dow Jones that ZF Friedrichshafen is in talks to sell its 50% stake in a steering joint venture to Robert Bosch, in preparation of its acquisition of TRW. According to sources, the deal could be announced as early as next week. Bloomberg first reported in July, that ZF could acquire TRW for as much as $12 billion. ZF confirmed the talks. Dow Jones reported Thursday, the value of the deal would be above $10 billion. TRW closed Thursday at $102.88 a gain of almost 2%. Eastman Chemical to Acquire Taminco for $26/Share The Deal:
Eastman Chemical EMN announced Thursday, that it will acquire global specialty chemical company, Taminco for $26.00 per share in cash. The transaction is valued at $2.8 billion. The deal is expected to close by year-end 2014. Taminco closed Thursday at $26.21 a gain of almost 10%.
