(the “Company”), announced today that funds affiliated with SCF Partners (the “Selling Stockholders") have agreed to sell an aggregate of 6,000,000 shares of the Company's common stock in an underwritten public offering. All net proceeds from the sale of the common stock will be received by the Selling Stockholders. The Company will not receive any of the proceeds from the sale. J.P. Morgan is acting as the sole underwriter for the offering. J.P. Morgan may offer the shares of common stock from time to time for sale in one or more transactions on the New York Stock Exchange, in the over-the-counter market, through negotiated transactions or otherwise at market prices prevailing at the time of sale, at prices related to prevailing market prices or at negotiated prices. The offering is being made pursuant to an effective shelf registration statement on Form S-3 previously filed with the Securities and Exchange Commission.
