today announced that it has commenced a public offering of 4,750,000 common units representing limited partner interests. The units will be offered by Rose Rock pursuant to an effective shelf registration statement on file with the Securities and Exchange Commission (SEC). Rose Rock also intends to grant the underwriters a 30-day option to purchase up to 712,500 additional common units. The partnership intends to use the net proceeds from this offering and from any exercise of the underwriters' option to purchase additional common units to repay borrowings outstanding under its revolving credit facility, fund capital expenditures and for general partnership purposes. Barclays, UBS Investment Bank, Citigroup, Deutsche Bank Securities and RBC Capital Markets are acting as joint book-running managers for the offering. The offering is being made by means of a prospectus supplement and accompanying base prospectus, copies of which may be obtained from the underwriters as follows:
