Bankrate Announces $300M Private Offering of Senior Unsecured Notes

(the "Company") today announced that, subject to market conditions, it plans to privately offer up to $300 million of senior unsecured notes due 2018 (the "New Notes"). The Company intends to use the net proceeds from the offering to redeem all of the Company's existing 11¾% Senior Secured Notes due 2015, $195 million of which are currently outstanding, in accordance with their terms, and to pay fees and expenses in connection with the offering and the redemption, with the balance to be used for general corporate purposes. The offering will be made only to qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and to certain non-U.S. persons in accordance with Regulation S under the Securities Act. The New Notes will not be registered under the Securities Act or any state securities laws and may not be offered or sold without registration unless an exemption from such registration is available.
