Valeant Pharmaceuticals Announces Pricing Of $1.6B Private Offering Of Senior Notes

(the "Company") announced today that VPII Escrow Corp., a newly formed wholly owned Canadian subsidiary of the Company, has priced $1.6 billion aggregate principal amount of 6.75% senior unsecured notes due 2018 (the "2018 Notes") and $1.625 billion aggregate principal amount of 7.50% senior unsecured notes due 2021 (together with the 2018 Notes, the "Notes"). The 2018 Notes supplant the previously announced offering of senior unsecured notes due 2023. The Notes offering is expected to close on or about July 12, 2013. The Company intends to use the net proceeds from the offering, together with proceeds from its recent public offering of common shares and other debt financing, to fund (i) the consideration of its previously disclosed acquisition (the "Merger") of Bausch + Lomb Holdings Incorporated ("B+L"), (ii) the fees and expenses incurred in connection with the Merger; and (iii) the repayment or retirement of B+L's outstanding debt. The Notes will not be registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities law and may not be offered or sold in the United States absent registration or an applicable exemption from registration under the Securities Act and applicable state securities laws. The Notes will be offered in the United States only to qualified institutional buyers pursuant to Rule 144A under the Securities Act and outside the United States to non-U.S. persons pursuant to Regulation S under the Securities Act. The Notes have not been and will not be qualified for sale to the public by prospectus under applicable Canadian securities laws and, accordingly, any offer and sale of the securities in Canada will be made on a basis which is exempt from the prospectus requirements of such securities laws.
