CF (CF) Inks $4.7 Billion Deal With Terra (TRA)

The Wall Street Journal reports that CF Industries Holdings, Inc. (NYSE: CF) succeeded in acquiring Terra Industries, Inc. (NYSE: TRA) for $4.7 billion, after Norway’s Yara International ASA (ADR) (OTC: YARIY) said that it wouldn’t up its initial $4.1 billion bid for Terra.

The final deal ends a year long battle between the fertilizer makers. Terra holders will get $37.15 and 0.0953 share of CF for each share of Terra, valuing the stock at $46.74 based on Thursday's closing price. The companies anticipate annual cost savings of $135 million.

Yara will get a $123 million break-up fee for its deal with Terra falling through.
